Reservation Agreement

These terms and conditions (the “Terms and Conditions”) govern the Customer’s reservation of Services giving the Customer Order Priority (the “Reservation”). These Terms and Conditions only govern the Reservation and do not constitute a right or obligation by the Customer to place an Order or obligation by Einride to accept and confirm an Order. Any subsequent purchase of Services will be governed by separate agreement entered into in connection with Einride’s acceptance and confirmation of an Order. Einride may review and amend the Reservation arrangement as well as these Terms and Conditions, at any time.


When placing a Reservation via Einride website (https://www.einride.tech), the Customer shall pay a Reservation Fee of USD 10,000 per each autonomous vehicle subject to Reservation. The Reservation Fee is exclusive of VAT and other similar taxes and charges. The first USD 1,500 of each Reservation Fee will be collected by Einride via credit card payment online and the remaining part of the Reservation Fee will be invoiced by Einride (payable within 30 days of the date of invoice). A Reservation is not complete until the Reservation Fee is paid in full. The Reservation Fee is refundable in case the Customer chooses to cancel its Reservation in accordance with these Terms and Conditions. The Reservation Fee only covers the benefit of Order Priority under the Reservation. When the Services are made available for order you will be requested to place an Order stating the confirmed price and other terms for the purchase Services. The Reservation Fee will not be applied towards the payment of any subsequent Services purchased by the Customer. The Customer has no right to collect interest on the Reservation Fee.


The Customer may at any time prior to having placed an Order cancel its Reservation for any reason at their convenience. The Customer may exercise the right to cancel its Reservation by contacting Einride’s customer support via email (nextgenpods@einride.tech). Einride is also entitled to cancel the Reservation for any reason and at any time. If so, Einride will contact the Customer via the email address provided when placing the Reservation. If the Reservation is cancelled in accordance with these Terms and Conditions, the Reservation Fee will be refunded to the Customer. Once the cancellation is effective, the Customer will no longer have Order Priority.


As part of the performance of its obligations under the Reservation, Einride may process personal data, meaning information which directly or indirectly relates to a living natural person. Please visit Einride’s privacy policy for more information on how Einride processes personal data. The payment process is handled by Stripe, which is a partner to Einride. When paying the Reservation Fee, the Customer needs to share information (including personal data) with Stripe. The payment process and the processing of information (including personal data) in relation thereto are governed by Stripe’s terms and conditions https://stripe.com/payment-terms/legal as well as the terms and conditions of the relevant third party with who Stripe collaborates in the payment process.


A Reservation is a non-binding agreement giving the Customer Order Priority to purchase Services from Einride once the Services are made available for purchase and does not constitute an Order. Neither Einride, nor any Einride affiliate, warrants or guarantees that the Customer will be offered to purchase Services from Einride, even though the Customer has made a Reservation and paid the required Reservation Fee. If and provided the Services are made available for purchase the Customer will based on Order Priority receive an offer via email to place an Order. EINRIDE WILL NOT HOLD THE RESERVATION FEE SEPARATE FROM OTHER FUNDS OR IN ESCROW OR TRUST.


Einride shall be entitled to assign its rights and obligations to an Einride affiliate. The Customer will be notified if such assignment is made. The Customer is not allowed to assign any rights or obligations under these Terms and Conditions. Except as provided by mandatory law, Einride is not liable nor responsible for any loss or damage of any kind that may arise in connection with your Reservation or otherwise under these Terms and Conditions. The Customer sole and exclusive remedy under these Terms and Conditions are limited to reimbursement of its Reservation Fee. Except as provided by mandatory law, these Terms and Conditions are governed by Swedish law and Swedish courts shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms and Conditions.   • "Reservation" has the meaning set out under Section "Initial Provisions" above.

  • "Reservation Fee" means the Reservation Fee in relation to a Reservation as set out in these Terms and Conditions.

  • "Customer" means the natural or legal person placing a Reservation.

  • "Freight Mobility Platform" means Einride’s proprietary software platform for transport planning, shipment tracking and fleet optimization.

  • "Order" means an order for purchase of Services.

  • "Order Priority" means the approximate priority and order in which Einride will (at its sole discretion) accept and confirm Orders.

  • "Autonomous vehicle" means Einride’s autonomous electric transport vehicle.

  • "Terms and Conditions" means this document named “Terms and Conditions – Pod Service(s) Reservation”.

  • "Services" means the services consisting of the Transport Operation Services (provided with the use of the Pod(s)) and Software Services provided by Einride.
